The offeree company is exposed not only to economic interests but shall ensure the principles of the corporate law are observed. Although the board of an offeree company must act in the interest of the company as a whole it is limited by the takeover legislation. German Takeover Act in 33 determines the principle of the prohibition of the takeover meaning is not allowed to take any action that could prevent the success takeover offer, meanwhile Slovenian Takeover Act in Article 47 stipulates the neutrality rule. The article presents legal provisions, possibilities and recommendations that shall be considered in the public takeover bid by the board of an offeree company in Slovenian and German legislation"},{"@xml:lang":"sl","#text":"Avtorica obravnava institut lastnih delnic ciljne družbe pri javnih prevzemnih ponudbah po slovenski in nemški ureditvi. Poudarek je na organu vodenja ali nadzora ciljne družbe, poslovodstvu, ki je v primeru prevzema izpostavljeno ne le gospodarsko nasprotujočim si interesom, temveč mora upoštevati tudi zakonske dolžnosti. Kljub omejenim možnostim delovanja ob prevzemu,mora poslovodstvo upoštevati interes podjetja ciljne družbe. Nemški WpÜG v 33 določa prepoved oviranja prevzema, medtem kot slovenski ZPre-1 v 47. členu ob taksativno določenih omejitvah dejanj poslovodstva ciljne družbe opredeljuje načelo nevtralnosti. V primeru javne prevzemne ponudbe si poslovodstvo lahko postavi pomembno vprašanje o ravnanju z lastnimi delnicami, ki jih ima v lasti ali jih pridobi ciljna družba.
