The model for regulating simplified limited liability companies in Italy, Croatia, Belgium, Luxembourg, and Denmark was the German entrepreneurial company (Unternehmergesellschaft - UG). However, the countries that adopted the German solution did not implement it in its entirety, but rather with certain amendments or deviations. In Slovenia, an amendment to the Companies Act is being prepared to enhance the corporate legal environment for start-ups. In this context, it was necessary to examine the German UG model, its advantages and disadvantages, and deviations from it in other jurisdictions"},{"@xml:lang":"sl","#text":"Avtorji v prispevku analizirajo zakonske ureditve poenostavljenih družb z omejeno odgovornostjo v Nemčiji, Italiji in na Hrvaškem. Zgled za ureditev poenostavljene družbe z omejeno odgovornostjo v Italiji in na Hrvaškem, pa tudi v Belgiji, Luksemburgu in na Danskem, je bila nemška podjetniška družba (Unternehmergesellschaft - UG), vendar države, ki so nemško rešitev posnemale, tega modela niso sprejele v celoti, ampak z določenimi popravki oziroma odstopanji. V Sloveniji se pripravlja novela Zakona o gospodarskih družbah, katere osnovni namen bo izboljšanje korporacijskopravnega okolja za start-upe.
