Together with the internal affairs doctrine, these elements form a legal framework that allows companies to choose the state of incorporation and be subject to its corporate provisions, regardless of where they conduct their business activities. As a result, states compete with each other to attract corporate incorporations, with Delaware being particularly competitive in this regard. The article also seeks to present the four main forms of corporate mobility provided for under the US company law</dc:description><dc:description xml:lang="sl">Temeljna značilnost korporacijskega prava v Združenih državah Amerike sta uveljavljenost teorije inkorporacije in razdrobljenost korporacijske zakonodaje, ki je posledica dejstva, da je vsaka zvezna država pristojna sprejeti svoje korporacijske zakone.
