Together with the internal affairs doctrine, these elements form a legal framework that allows companies to choose the state of incorporation and be subject to its corporate provisions, regardless of where they conduct their business activities. As a result, states compete with each other to attract corporate incorporations, with Delaware being particularly competitive in this regard.
